K&L Gates Advises LightJump Acquisition Corp. on Combination with Moolec Science Ltd.
New York - Global law firm K&L Gates LLP has advised LightJump Acquisition Corporation (NASDAQ: LJAQU), a Silicon Valley SPAC, in its US$504 million definitive Double Dummy business combination agreement with Moolec Science Ltd. The agreement resulted in the newly created affiliate Moolec Science SA, a Luxembourg company that will be publicly listed on Nasdaq.
Moolec is an agricultural biotech company that is working in Argentina on genetically engineered soybeans that can express animal protein. Moolec Science SA will be publicly traded under the ticker symbol “MLEC” and will be the first Molecular Farming FoodTech company to be listed on the Nasdaq Exchange. The transaction is expected to be completed in the second half of 2022, subject to customary conditions.
LightJump is a Delaware blank check company formed for the purpose of entering into a merger, share exchange, asset acquisition, stock purchase, recapitalization, reorganization, or other similar business combination with one or more target businesses. A team from K&L Gates also previously represented LightJump in its US$138 million SPAC IPO.
The K&L Gates team that advised LightJump was led by New York partner Robert Matlin and Los Angeles partner Leib Orlanski, and included New York partner Matthew Ogurick, Charlotte partner Leah Baucom, and associates Jacqulyn Lewis and Steven Shur.
