Amanda Albert is a partner at the firm's New York office. She is a member of the Executive Compensation practice group. Amanda has substantial experience advising both public and private clients on employee benefit, employment, and executive compensation matters. She counsels clients on the full range of related tax, ERISA, governance, securities, and regulatory issues, including reporting and disclosure obligations for public companies. She also advises clients on new trends in these areas.
In particular, she represents clients on all employee benefits, employment, and executive compensation aspects of corporate transactions, including domestic and cross-border M&As, spin-offs, IPOs, reorganizations and restructurings, private equity, and funding and financing arrangements. She negotiates key transaction documents and counsels clients on devising and implementing transition plans and the hiring and reduction of their workforce. She also handles technical pension and tax matters and ensures clients are in compliance with applicable securities and regulatory requirements. Both during and following the transaction, clients eagerly seek Amanda's counsel as to “best practices” concerning employee benefit arrangements.
In addition, she regularly works with business executives, boards of directors, and various committees, as well as in-house legal teams, in designing, implementing, administering, and adjusting annual and long-term incentive compensation plans, and profits interest, employment, consulting, separation, retention, bonus, incentive, restrictive covenant, deferred compensation and other similar plans and agreements.
