REPRESENTATIVE EXPERIENCE

Water and Wastewater

Represented a wholly owned subsidiary of one of the largest publicly traded U.S. water and wastewater utility companies with respect to the environmental and regulatory aspects of its US$195 million acquisition of the wastewater system assets of the Scranton Sewer Authority.
​Counseled one of North America's largest bottled water companies in the acquisition of spring water and other water rights, and the development of multiple spring water sites and bottling plants. Advised the company on water resource policy and regulatory issues in multiple states in the northeast, Mid-Atlantic, and Great Lakes regions.
Assisted a global provider of innovative solutions for the treatment and recycling of wastewater with preparing model agreements for providing reclaimed water production and sales to colleges and universities.

Represented a water/wastewater service provider as the successful proposer in negotiating a 20-year DBOM contract with a multi-county regional public authority to develop and operate a 60+ mgd surface water treatment facility.

Represented a multinational water/wastewater service provider in structuring an innovative multi-pronged project.

Assisted one of the United States' largest water utility enterprises with structuring, due diligence, contract drafting, and negotiations relating to a California water/wastewater/recycled water concession transaction. The transaction, which included US$140 million in project equity and debt financing, represented a precedent-setting step forward in structuring public-private partnership arrangements, and became a model template for similar arrangements in other small to medium-sized communities facing significant infrastructure needs.  
​Advised and represented a regional authority in the development and expansion of a wastewater system serving multiple municipalities in northeastern Pennsylvania.
​Structured and drafted one of the first-ever PPP project agreements in California under the then-new statutory provisions allowing municipal U.S. procurement of private-public partnerships. Involved D-B development of a replacement wastewater treatment plant, coupled with long-term O&M services.
Represented one of the United States' largest public pension funds in due diligence concerning the potential acquisition of a major investor-owned water and wastewater utility company operating in Connecticut, Massachusetts, and New Hampshire. Advised concerning tax, contracting, environmental, regulatory, permitting, compliance and related risks, risk management strategies, and potential structuring and bidding strategies.
Advised a utility network services provider in relation to the subcontract for the Integrated Industrial Wastewater Treatment Works project in Qatar led by the Public Works Authority (Ashghal) and bid by Larsen & Toubro Ltd. Reviewed and commented on the pre-subcontract agreement with respect to O&M services to be subcontracted to our client.
Advised a utility network services provider and a major Japanese integrated trading and investment business conglomerate during tender for the Ashghal Catchment Zone Framework project concerning long-term, comprehensive O&M of Qatar’s water and sewage network system. Advised on all public procurement, contractual, and corporate issues.
Advised a Victorian Regional Water Authority on its new biosolids treatment plant and biosolids management solution procured on a PPP basis through the “Partnerships Victoria” program. Involved advising on the project structuring, drafting the request for proposal documentation, attending interactive tender workshops with tenderers, evaluating bids, negotiating with the preferred tenderer, and finalising project documentation.
Advised a Victorian Regional Water Authority on the procurement of an appropriately AU$100 million water reclamation and recycling facility adjoining a petroleum refinery. Included procurement and structuring advice, drafting and negotiating the EPC contract, and addressing contract implementation issues.
